AudioTend License Agreement
Software License • Version 1.0
By installing or using AudioTend, you agree to the terms below. If you do not agree, do not install or use the software.
1. License grant
AudioTend is licensed, not sold. Subject to payment of the applicable purchase price and compliance with this Agreement, Peter Smith grants you a limited, non-exclusive, non-transferable license to install and use AudioTend for your own professional or personal work.
Unless the purchase page states otherwise, a license is intended for one user and may be installed on Macs owned or controlled by that user. Organizations should obtain an appropriate license for each person who directly uses the software.
2. Permitted use
You may use AudioTend in commercial and non-commercial productions, including professional sound-effects, post-production, game-audio, music and media workflows. Audio files and other project output created with AudioTend remain yours, subject to any rights that may already exist in your source material.
3. Restrictions
You may not sell, rent, sublicense, redistribute or make AudioTend itself available to others except where your purchase terms expressly permit it. You may not remove proprietary notices or use the software to provide unauthorized copies to third parties.
Nothing in this Agreement restricts rights that applicable law or a third-party open-source license expressly gives you. In particular, restrictions in this Agreement do not override rights relating to open-source components included with AudioTend.
4. Ownership
AudioTend, its user interface, documentation and original software code remain the intellectual property of Peter Smith and/or the applicable licensors. This Agreement does not transfer ownership of AudioTend to you.
5. Third-party software
AudioTend includes open-source software components that are licensed under their own terms. Those licenses govern the applicable third-party components and take precedence over this Agreement to the extent of any conflict. Third-Party Notices are available in AudioTend and with the distribution materials.
6. Updates and major versions
Updates released as part of the AudioTend 1.x series are included for licensed AudioTend 1.x users. New major versions may be separate products and may require an upgrade purchase. Peter Smith is not required to provide any particular update, feature or future version.
7. Your files and backups
AudioTend is designed to leave source files untouched and to write converted output separately. You remain responsible for maintaining appropriate backups of important source material and project files. Before processing irreplaceable material, keep a verified backup.
8. Metadata and third-party compatibility
AudioTend can write and read supported audio metadata formats, including professional metadata used in sound-effects workflows. Different applications may interpret, display or preserve metadata differently. No guarantee is made that every metadata field will be recognized identically by every third-party application, database, service or future software version.
9. Warranty disclaimer
To the maximum extent permitted by applicable law, AudioTend is provided "as is" and without warranties of merchantability, fitness for a particular purpose, non-infringement or uninterrupted operation. Nothing in this Agreement excludes warranties or consumer rights that cannot legally be excluded.
10. Limitation of liability
To the maximum extent permitted by applicable law, Peter Smith will not be liable for indirect, incidental, special or consequential loss, including loss of profits, business, data or production time arising from use of AudioTend.
Where liability cannot be excluded, total liability relating to AudioTend will not exceed the amount you paid for the applicable AudioTend license, except where applicable law requires otherwise.
11. Termination
This license ends if you materially breach this Agreement and do not remedy the breach where a remedy is possible. On termination, you must stop using and delete copies of AudioTend that you are no longer licensed to use. Rights relating to lawfully created output and third-party open-source components are not affected beyond the terms that apply to them.
12. Changes to these terms
Updated terms may apply to future versions or future purchases. The license terms supplied with the version you purchased continue to govern that version unless you agree to replacement terms or applicable law requires otherwise.
