AUDIOTEND TERMS OF SERVICE

1. ABOUT THESE TERMS
Welcome to AudioTend.
These Terms of Service ("Terms") govern your use of the AudioTend website, online store, purchasing services and related content (collectively, the "Services").
AudioTend is operated by Peter Smith, trading as AudioTend, an individual trader established in Vilnius, Lithuania.
In these Terms, "AudioTend", "we", "us" and "our" refer to Peter Smith trading as AudioTend.
Our online store is powered by Shopify, which provides the ecommerce platform through which we offer AudioTend for sale.
By visiting, using or purchasing through our website, you agree to these Terms and our Privacy Policy.
If you do not agree to these Terms, please do not use the Services.
These Terms govern the website, store and purchase process. Your installation and use of the AudioTend software is additionally governed by the AudioTend Software License Agreement supplied with the software and/or made available through our website.
Nothing in these Terms limits any mandatory rights you may have under applicable consumer protection law.
2. ELIGIBILITY AND ACCOUNT INFORMATION
You must have the legal capacity to enter into a binding contract in your jurisdiction to make a purchase from AudioTend.
You may be asked to provide information including your name, email address, billing information and payment information.
You agree that information supplied by you in connection with a purchase will be accurate, current and complete.
If you create or use a customer account, you are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account.
You must not use another person's identity or payment information without authorization.
3. AUDIOTEND SOFTWARE
AudioTend is a downloadable macOS software application designed for professional sound-effects workflows.
Its features include audio conversion, professional metadata handling, UCS-compatible naming, delivery verification, metadata reporting and related workflow tools.
The current product page states the features, supported audio formats and system requirements applicable to the version offered for sale.
At the release of AudioTend 1.0, AudioTend requires macOS 13 Ventura or later and supports both Intel and Apple silicon Macs.
We make reasonable efforts to ensure that product descriptions, screenshots, demonstrations, compatibility information and specifications accurately represent the product.
Minor visual or functional differences may occur between screenshots or promotional materials and later software updates.
We may improve, modify, replace or discontinue features in future versions, provided that this does not limit rights that cannot lawfully be excluded.
4. PROFESSIONAL AND COMMERCIAL USE
AudioTend is intended for both personal and professional use.
Subject to the AudioTend Software License Agreement, licensed customers may use AudioTend as part of commercial and professional sound-design, recording, post-production, game-audio, sound-library and related workflows.
Nothing in these Terms restricts legitimate professional use of AudioTend in accordance with your software license.
You may not resell, redistribute, sublicense or make unauthorized copies of AudioTend except where expressly permitted by the Software License Agreement or applicable law.
5. ORDERS AND CONTRACT FORMATION
When you submit an order, you are making an offer to purchase AudioTend at the price displayed during checkout.
A purchase contract is formed when your payment has been successfully processed and we confirm your order.
Please check your order and email address carefully before completing your purchase.
We may decline or cancel an order where reasonably necessary, including in cases of suspected fraud, payment failure, pricing error or unlawful activity.
If we cancel an order after payment has been received, the applicable payment will be refunded.
Purchases are subject to these Terms, our Refund Policy and the AudioTend Software License Agreement.
AudioTend may be purchased for personal or professional use but must not be purchased for unauthorized resale or redistribution.
6. PRICES, TAXES AND PAYMENT
The price charged will be the price displayed and confirmed at checkout when you place your order.
Prices, introductory offers and promotions may change from time to time. Changes will not affect orders already completed.
Any applicable taxes will be displayed or calculated during checkout as required.
Before completing your order, you will be shown the total amount payable.
Payments are processed through Shopify and/or supported third-party payment providers. We do not directly control those providers' systems or processing times.
You represent that you are authorized to use the payment method supplied for your purchase.
AudioTend is currently sold as a one-time purchase and does not require a recurring subscription unless a future product or service is expressly described otherwise before purchase.
7. DIGITAL DELIVERY
AudioTend is supplied electronically as digital content.
No physical product is shipped.
Following successful payment, you will receive access to your purchased software electronically, for example through a download page, download link, customer account, order confirmation or digital-delivery service.
You are responsible for providing a functioning and accurate email address during checkout.
If you experience a problem accessing or downloading AudioTend, please contact us and we will make reasonable efforts to assist you.
We recommend retaining a backup copy of your downloaded installer and purchase confirmation.
We may provide re-download facilities, but we do not guarantee that historical installers will remain hosted indefinitely unless required by applicable law.
8. RIGHT OF WITHDRAWAL AND DIGITAL CONTENT
Consumer withdrawal rights vary depending on your location and whether supply of the digital content has begun.
For consumers in the European Union and other jurisdictions providing similar rights, distance purchases may ordinarily include a statutory withdrawal period.
For digital content that is not supplied on a tangible medium, the statutory right of withdrawal may be lost once supply begins where, before supply begins:

you have expressly consented to the digital content being supplied during the withdrawal period;

you have acknowledged that by doing so you lose your statutory right of withdrawal once supply begins; and
-
we provide the confirmation required by applicable law.
Where these conditions have been validly satisfied and you begin downloading or otherwise receiving AudioTend, the purchase will generally no longer be subject to a change-of-mind withdrawal right.
Where a statutory withdrawal right remains available, you may exercise it using any electronic withdrawal function provided through our store or by contacting us.
Nothing in this section affects your rights where AudioTend is defective, not supplied as agreed, materially not as described, or otherwise fails to conform to mandatory legal requirements.
Our separate Refund Policy provides additional information.
9. REFUNDS
Because AudioTend is downloadable software supplied electronically and cannot meaningfully be "returned" after delivery, purchases are generally final once digital delivery has begun, except:

where a refund is required by applicable law;
-
where AudioTend is defective or materially not as described and you are entitled to a legal remedy;
-
where a duplicate or erroneous charge has occurred; or
-
where we otherwise agree to provide a refund.
If you experience a technical problem, please contact us and give us a reasonable opportunity to investigate and assist.
Nothing in our Refund Policy or these Terms limits mandatory consumer rights.
10. SOFTWARE LICENSE
Purchase of AudioTend provides a license to use the software; it does not transfer ownership of the AudioTend software or its intellectual property to you.
Installation, permitted use, copying, transfer and other rights relating specifically to the software are governed by the AudioTend Software License Agreement.
If these Terms and the Software License Agreement conflict regarding use of the AudioTend software itself, the Software License Agreement will govern that software use.
If either document conflicts with a mandatory right that cannot lawfully be excluded, the applicable mandatory law will prevail.
11. UPDATES
A purchase of AudioTend 1.x includes software updates that we release within the AudioTend 1.x series without an additional license fee.
This does not constitute a promise that particular features will be added, that updates will follow a particular schedule or that the 1.x series will continue indefinitely.
Future major versions, such as AudioTend 2.0, may be offered as separately priced upgrades.
We may provide maintenance, compatibility, security, bug-fix and feature updates from time to time.
Nothing in this section limits any update obligations required under applicable law.
12. YOUR FILES AND DATA
AudioTend processes audio files locally on your Mac as part of its normal operation.
AudioTend does not require your source audio to be uploaded to our servers in order to perform audio conversion, metadata editing, UCS naming or delivery verification.
You remain responsible for your files and for maintaining appropriate backups of important material.
Although AudioTend is designed to leave source files untouched during its normal processing workflow, you should maintain appropriate backups when working with professionally important material.
You are responsible for reviewing and verifying outputs before relying on them for critical professional delivery.

13. THIRD-PARTY COMPONENTS
AudioTend may contain or use third-party and open-source software components.
Those components may be subject to separate license terms.
Applicable notices and license information are provided through AudioTend's Third-Party Notices and associated license materials.
To the extent that a third-party software license grants rights that differ from these Terms or the AudioTend Software License Agreement, the applicable third-party license governs that third-party component.
14. WEBSITE INTELLECTUAL PROPERTY
Unless otherwise stated, the AudioTend website and its original content, including text, graphics, product images, branding, videos, interface demonstrations and website design, are owned by or licensed to AudioTend and are protected by applicable intellectual-property laws.
You may access the website for legitimate informational and purchasing purposes.
You may not reproduce, redistribute, republish, commercially exploit or create unauthorized derivative works from our website content without permission, except as permitted by law.
The AudioTend name, logo, icon and associated branding may not be used in a manner that falsely suggests endorsement, affiliation or authorization.
This section relates to website and marketing content and does not restrict professional use of a properly licensed copy of the AudioTend application.
15. THIRD-PARTY SERVICES AND LINKS
Our website may contain links to or functionality provided by third parties.
This may include Shopify, payment processors, video hosting services, analytics providers or other services used to operate the website.
Third-party services are governed by their own terms and privacy practices.
We are not responsible for independent third-party websites or services outside our reasonable control.
Please review the relevant third-party terms when appropriate.
16. RELATIONSHIP WITH SHOPIFY
AudioTend is powered by Shopify, which enables us to provide the Services to you.
However, any sales and purchases you make in our store are made directly with AudioTend.
By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of sales between you and AudioTend, including any injury, damage or loss resulting from purchased products and services.
To the extent permitted by applicable law, Shopify and its affiliates are not responsible for claims arising from transactions made directly between you and AudioTend.
17. PRIVACY
Personal information collected through our website and store is handled in accordance with our Privacy Policy, available through the AudioTend website.
Because the store is hosted by Shopify, Shopify also processes certain information relating to your use of the website, checkout and purchases in order to provide its ecommerce services.
Information submitted through the store may also be processed by payment providers and other service providers necessary to complete your transaction.

18. FEEDBACK
We welcome comments, suggestions and feedback about AudioTend.
If you voluntarily send us product suggestions or feedback, you grant us permission to use those suggestions to evaluate, improve, develop and promote AudioTend without an obligation to compensate you.
This does not transfer ownership of your pre-existing copyrighted material, audio recordings or other independent intellectual property to us.
Please do not submit confidential or proprietary information unless we have expressly agreed to receive it on that basis.
19. PROHIBITED USES
You must not use the AudioTend website or Services:

for unlawful, fraudulent or malicious activity;

to infringe the intellectual-property, privacy or other legal rights of another person;

to distribute malware or interfere with the security or operation of the website;
-
to attempt unauthorized access to accounts, systems or customer information;
-
to impersonate another person or provide deliberately fraudulent information;
-
to scrape, overload or disrupt the website through abusive automated activity; or
-
to circumvent security or authorization measures protecting the website or store.
We may restrict or terminate access to the Services where reasonably necessary to respond to fraud, security threats, unlawful conduct or material breaches of these Terms.
20. AVAILABILITY, ERRORS AND CHANGES
We make reasonable efforts to keep the website and store accurate and available.
However, websites and online services may occasionally experience interruptions, technical failures, typographical errors or inaccurate information.
We may correct errors and update information when discovered.
If a material pricing or product-description error affects an order, we may contact you to correct or cancel the transaction and issue an appropriate refund where necessary.
We may change or discontinue website features or products from time to time.
21. CONFORMITY, WARRANTIES AND STATUTORY RIGHTS
AudioTend is supplied with the legal rights and remedies that apply under relevant consumer-protection and digital-content law.
Nothing in these Terms excludes or limits any statutory warranty, guarantee, conformity right or remedy that cannot lawfully be excluded.
Where permitted by law, and except for obligations expressly stated by AudioTend or imposed by mandatory law, the website and Services are provided on an "as available" basis.
Software can contain defects and compatibility can be affected by operating-system changes, third-party software, hardware configurations and other factors outside our reasonable control.
If you believe AudioTend does not conform to the contract or is affected by a significant defect, please contact us so we can investigate.
22. LIMITATION OF LIABILITY
Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability that cannot legally be excluded under applicable consumer law.
To the extent permitted by law, AudioTend will not be liable for indirect or consequential losses that were not reasonably foreseeable when the contract was formed.
Where AudioTend is used for professional or business purposes, you remain responsible for maintaining appropriate backups, reviewing outputs and implementing appropriate quality-control procedures before professional delivery.
We do not seek to exclude liability for fraud, fraudulent misrepresentation, intentional misconduct, death or personal injury caused by negligence where such liability cannot lawfully be excluded, or any other liability that applicable law prohibits us from limiting.
Mandatory consumer remedies are unaffected by this section.
23. TERMINATION OF WEBSITE ACCESS
We may suspend or terminate access to our website or customer services where reasonably necessary because of unlawful conduct, fraud, security threats or a serious breach of these Terms.
Termination of website access does not automatically terminate a valid perpetual software license previously purchased by you unless the AudioTend Software License Agreement or applicable law provides otherwise.
Any provisions that by their nature should continue after termination will remain effective.
24. SEVERABILITY AND WAIVER
If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect.
Our failure to enforce a provision on one occasion does not waive our right to enforce it later.
25. ENTIRE AGREEMENT
These Terms, our Privacy Policy, Refund Policy and any other store policies incorporated into them govern your use of the AudioTend website, store and purchasing services.
The AudioTend Software License Agreement separately governs your installation and use of AudioTend software.
Together, the applicable documents form the agreement relevant to your purchase and use of AudioTend.
Nothing in these documents overrides mandatory rights that apply by law.
26. GOVERNING LAW
These Terms are governed by the laws of the Republic of Lithuania.
If you are a consumer resident in another country, this choice of law does not deprive you of mandatory consumer protections that apply to you under the law that would otherwise govern your consumer contract.
Nothing in these Terms restricts your right to bring proceedings before a court that has jurisdiction under applicable consumer law.
If you are purchasing or using the Services in the course of a business or profession rather than as a consumer, disputes will be subject to the competent courts of Lithuania unless mandatory law provides otherwise.
27. CONSUMER COMPLAINTS AND DISPUTE RESOLUTION
If you have a complaint relating to your purchase, please contact us first so that we have an opportunity to resolve it.
Written consumer complaints will be reviewed and responded to within the period required by applicable Lithuanian law.
If you are a consumer and we are unable to resolve your complaint directly, you may be entitled to use an applicable out-of-court consumer dispute resolution procedure.

This does not affect your right to pursue any remedy available through a competent court.
28. CHANGES TO THESE TERMS
We may update these Terms from time to time, for example to reflect changes to AudioTend, our store, applicable law or our service providers.
The current version will be published on our website together with the date of the latest update.
Material changes will take effect in accordance with applicable law.
Changes to these Terms do not retrospectively remove rights already acquired under a completed purchase.
